Terms of Service

1. Introduction

Welcome to JABB Watch ("the Service"), operated by JABB Consulting ("we", "us", "our"), a consulting company registered in Finland (business ID FI24971346).

By accessing or using JABB Watch, you ("you", "your", "the Customer") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and JABB Consulting. Please read them carefully before using the Service.

2. Service Description

JABB Watch is an AI-powered competitor monitoring service that:

• Monitors up to 5 publicly accessible web pages (URLs) that you specify during onboarding
• Detects changes to those pages on a weekly basis
• Generates AI-powered summary reports analyzing detected changes in the context of your business
• Delivers weekly reports to your registered email address

The Service is designed for business-to-business (B2B) use. Reports are generated using artificial intelligence and are intended for informational purposes only.

3. Account and Authentication

JABB Watch uses a shared authentication system powered by AWS Cognito. If you also use JABB Fusion (our AI research workbench), you will use the same login credentials for both services.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

Your JABB Watch business data (competitor URLs, business description, reports) is kept separate from any JABB Fusion data and is not accessible from JABB Fusion.

4. Pricing and Payment

The Service is offered at the following pricing:

• One-time setup fee: €199 (excluding VAT) — covers onboarding, configuration of your monitoring profile, and initial competitor analysis
• Monthly subscription: €39/month (excluding VAT) — billed monthly via Stripe

All prices are in euros (€) and exclude applicable Value Added Tax (VAT). VAT will be added where required by law based on your location and business status.

Payment is processed securely via Stripe. We do not store your credit card details. Your subscription begins upon successful payment and renews automatically each month on the same date.

We reserve the right to change pricing with 30 days' written notice. Price changes do not affect the current billing period.

5. Cancellation and Refunds

Cancellation: You may cancel your subscription at any time by contacting us at support@jabbwatch.com. Cancellation takes effect at the end of the current billing period. You will continue to receive reports until the end of your paid period.

Setup fee: The one-time setup fee is non-refundable once your monitoring profile has been activated and the first scan has been performed. If we have not yet activated your profile, you may request a full refund of the setup fee.

Monthly subscription: Monthly fees are generally non-refundable. If you experience a significant service issue, contact us within 14 days of payment and we will work to resolve the issue or provide a credit at our discretion.

Cooling-off period: If you are a consumer within the EU, you may have a 14-day right of withdrawal under the Consumer Rights Directive. However, by requesting immediate activation of the Service, you acknowledge that this right may be waived once the Service has been fully performed.

6. Your Obligations

By using the Service, you agree to:

• Provide accurate and complete information during onboarding, including your business description and competitor URLs
• Only submit URLs of publicly accessible web pages that do not require authentication to view
• Not use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Not attempt to reverse-engineer, decompile, or otherwise extract the underlying algorithms or processes of the Service
• Not resell, redistribute, or sublicense access to the Service or its reports without our prior written consent
• Not submit URLs that you do not have a legitimate business reason to monitor
• Keep your account credentials secure and not share them with unauthorized third parties

7. Intellectual Property

Our content: The Service, including its design, functionality, algorithms, and branding, is the intellectual property of JABB Consulting. All rights are reserved.

Your data: You retain ownership of all data you provide to us (business descriptions, competitor URLs, etc.). By using the Service, you grant us a limited license to use this data solely for the purpose of providing the Service to you.

Reports: AI-generated reports are provided to you for your internal business use. You may share reports within your organization. You may not publicly distribute, resell, or claim authorship of the AI-generated analysis as your own original work.

8. AI Disclosure

JABB Watch uses Claude, an AI model developed by Anthropic, to analyze competitor page changes and generate reports.

You acknowledge and agree that:

• Reports are generated by artificial intelligence and may contain inaccuracies, misinterpretations, or incomplete analysis
• AI-generated content should not be treated as professional advice (legal, financial, strategic, or otherwise)
• You are responsible for independently verifying any information or recommendations contained in reports before making business decisions
• We do not guarantee the accuracy, reliability, or completeness of AI-generated analysis

9. Data Handling

We collect and process minimal data necessary to provide the Service. This includes your account information, business description, competitor URLs, and generated reports.

All data is encrypted at rest (AES-256) and in transit (TLS 1.2+). Data is stored on AWS infrastructure in the EU (Frankfurt, Germany).

Upon account closure, we retain your data for 30 days to allow for reactivation, after which it is permanently deleted unless you request earlier deletion.

10. Service Availability and Limitations

We aim to deliver weekly reports consistently, but we do not guarantee uninterrupted or error-free operation of the Service.

Limitations you should be aware of:

• Reports are generated weekly; we do not provide real-time monitoring
• We can only monitor publicly accessible pages; pages behind logins, paywalls, or CAPTCHAs cannot be monitored
• We respect robots.txt directives; if a target website disallows crawling, we may be unable to monitor that URL
• AI analysis is limited by the quality and quantity of content available on the monitored pages
• Changes to website structure or technology may temporarily affect our ability to detect changes
• We may need to temporarily suspend the Service for maintenance with reasonable advance notice

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total aggregate liability to you for any claims arising from or related to the Service shall not exceed the total fees you have paid to us in the 3 months immediately preceding the claim
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill
• We are not liable for any decisions you make based on AI-generated reports or recommendations
• We are not liable for any inaccuracies in AI-generated content

Nothing in these Terms limits our liability for fraud, gross negligence, or any liability that cannot be excluded by law.

12. Indemnification

You agree to indemnify and hold harmless JABB Consulting, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms
• Your violation of any applicable law or regulation
• Your submission of URLs that infringe on third-party rights
• Any misuse of the reports or AI-generated content provided by the Service

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes at least 14 days before they take effect by sending a notice to your registered email address.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you should cancel your subscription before the changes take effect.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the courts of Finland. Both parties agree to submit to the personal jurisdiction of the Finnish courts.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct communication for a period of at least 30 days.

15. Termination

By you: You may terminate your use of the Service at any time by canceling your subscription as described in Section 5.

By us: We may suspend or terminate your access to the Service immediately if:

• You breach any material provision of these Terms
• You fail to pay fees when due
• We are required to do so by law
• We decide to discontinue the Service (with at least 30 days' notice)

Effect of termination: Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days as described in Section 9, after which it will be permanently deleted. Sections that by their nature should survive termination (including Sections 7, 8, 11, 12, and 14) will continue to apply.
